                       Notice of EGM and Issue of Equity


The Directors of the Tanfield Group plc ('Tanfield' or 'the Company') today
announces that the Company has  conditionally placed 27,500,000 new Ordinary
Shares at a placing price of 20p per share raising £5.5m before expenses.  The
placing will allow the Company to take advantage of certain strategic growth
opportunities.

The placing is conditional inter alia on the passing of resolutions to increase
the authorised share capital of the  Company and disapply pre-emption rights at
the EGM which will take place on 20 May 2005 at 11.00 a.m. at Factory BT95/2 
Tanfield Lea Industrial Estate, Tanfield, Co. Durham, DH9 9NX.
