Voting Rights and Capital



In accordance with the transitional provisions of the FSA's Disclosure and
Transparency Rules, Tandem Group plc ('Tandem') confirms that its issued share
capital comprises 37,584,412 ordinary shares of 4p each.



All of the ordinary shares have equal voting rights and none of the ordinary
shares are held in treasury.  Therefore the total number of voting rights in
Tandem is 37,584,412.



This figure may be used by shareholders as the denominator for the calculations
by which they will determine if they are required to notify their interest in,
or a change to their interest in, the share capital of Tandem under the FSA's
Disclosure and Transparency Rules.
