Tandem Group PLC 24 September 2004 OFFERS BY TANDEM GROUP PLC TO ACQUIRE THE PREFERENCE SHARES OF £1 EACH OF CASKET PLC AND KINGSLEY AND FORESTER GROUP PLC On 13 August 2004 Tandem Group plc ('Tandem') announced that it was making cash offers to acquire the entire issued and to be issued preference share capital of both Casket Plc ('Casket') and Kingsley and Forester Group Plc ('Kingsley') not already owned or contracted to be acquired (within the meaning of section 428(5) and, if applicable, sections 430E of the Companies Act 1985 (the 'Act')) by Tandem. As at 5:00 p.m. on 23 September 2004 valid acceptances had been received representing approximately 90.5% of the Casket preference shares not already owned by Tandem and approximately 97.1% of the Kingsley preference shares not already owned by Tandem. The offers are now closed. Tandem will now apply the provisions of sections 428 to 430F of the Act to acquire compulsorily any outstanding preference shares to which the offers relate. Notices under section 429(4) of the Act will be issued in due course. When completed the total cash payments made under the offers will be £163,148, funded through internal resources. 24 September 2004.
