Notification of interests of directors.

RBC Trustees (Guernsey) Limited, the trustee of the Yule Catto Employee Benefit
Trust, has informed Yule Catto & Co plc (the 'Company') that it acquired 100,000
shares in the Company on 12 September 2002 at a price of £2.75 per share.

The executive directors of the Company - Alexander Walker and Sean Cummins - are
(together with other employees of the Group) potential beneficiaries of the Yule
Catto Employee Benefit Trust and are therefore treated as becoming interested in
the shares acquired by the trustee.

As a result of the acquisition of shares referred to above, the total number of
shares held by the trustee of the Yule Catto Employee Benefit Trust in which the
directors are interested as potential beneficiaries is 472,591.

This notification is made in accordance with paragraph 16.13 of the Listing
Rules.
