Notification of interests of directors

The Monument Trust Company Limited, the trustee of the Yule Catto Employee
Benefit Trust, has informed the company that it acquired 50,000 shares in Yule
Catto & Co plc (the 'Company') on 14 May 2001 at a price of £1.865 per share.

The executive directors of the Company - Alexander Walker and Sean Cummins are
(together with other employees of the Group) potential beneficiaries of the Yule
Catto Employee Benefit Trust and are therefore treated as becoming interested in
the shares acquired by the trustee.

As a result of the acquisition of shares referred to above, the total number of
shares held by the trustee of the Yule Catto Employee Benefit Trust in which the
directors are interested as potential beneficiaries is 397,797.

This notification is made in accordance with paragraph 16.13 of the Listing
Rules.
