Yule Catto & Co plc ("Yule Catto" or "the Company") announces that on 23rd March 2012, in substitution for the right to have 1,043,243 ordinary shares transferred to him in respect of awards made in 2008 and 2009 under the terms of the 2002 Performance Share Plan, Mr A M Whitfield was paid the net sum of £1,235,867. The payment was calculated on the basis of the Company's closing share price of 246.8p on 23rd March 2012.

Following the above transaction Mr Whitfield holds 14,000 shares in the Company and has a vested unexercised award over 696,496 shares and unvested awards over 768,132 shares.

The issued share capital of the Company is 339,880,769 shares of 10p each.
