                           Voting Rights and Capital


In conformity with the Transparency Directive's transitional provision 6, the
Board of Synchronica would like to notify the market of the following:

Synchronica plc's issued share capital consists of 36,400,081 ordinary shares of
1p each with equal voting rights. No ordinary shares are held in treasury.

The above figure of 36,400,081 may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, Synchronica plc under the
FSA's Disclosure and Transparency Rules.
