                        Result of AGM and Board Changes


London, 31 May - Synchronica plc, an international provider of mobile
synchronisation and device management solutions based on open industry
standards, announces that at the Annual General Meeting of the Company, held
today, all resolutions were duly passed, with the exception of Resolution 5,
which was to re-elect Terry Page, Chief Operating Officer, as a director. The
Board has determined that its composition should be comprised of two executive
directors and three non-executive directors, including the Chairman.
Accordingly, Terry Page did not seek re-election but will retain his executive
responsibilities as Chief Operating Officer.


In addition, David Wickham, formerly non-executive Deputy Chairman took up the
role of Chairman. John Gunn, the former Chairman, will remain on the Board as a
non-executive director.


The Board now comprises:
