2020 Annual General Meeting (AGM)

Change of Arrangements

 

Symphony's AGM, scheduled for 3.00 p.m. (GMT +8) on Thursday, 30 April 2020 at the Company's offices in Singapore, will now be held as a closed meeting.

 

In light of the ongoing "Stay at home" measures and travel restrictions, introduced by the Singapore Government as a result of the COVID-19 pandemic, it will no longer be possible for Shareholders to attend the meeting in person. Shareholders or any other person attempting to attend the AGM will be refused entry. This measure is designed to promote the health and wellbeing of the Company's Shareholders, employees and the wider community, which is of paramount importance.

 

Shareholders are requested to exercise their votes by completing a proxy form¹. The proxy form should be deposited at Link Asset Services, PXS, 34 Beckenham Road, Beckenham, Kent, BR3 4TU, United Kingdom². Given the restrictions, Shareholders are strongly encouraged to nominate the "Chairman of the Meeting" as their proxy, rather than another person who will not be permitted to attend the meeting. If any shareholders have already submitted a proxy form appointing someone other than the "Chairman of the Meeting", they are encouraged to contact the Link Asset Services on +44 (0)371 664 0300³ , to change their proxy appointment to the "Chairman of the Meeting". To ensure proxy votes are counted, proxy appointments must be made by 10.30 a.m. (BST) on 28 April 2020.

 

At least two directors who hold shares will be present at the AGM to form the necessary quorum. The business to be conducted at the meeting remains the same as set out in the Notice of Meeting dated  15 April 2020 which has already been sent to Shareholders and is also available on Symphony's website ( www.Symphonyasia.com ). The Board continues to believe these resolutions to be in the best interest of the Company and its Shareholders as a whole and recommends that you vote in favour of them.

 

It is intended that, as soon as is practical, there will be another meeting of Shareholders scheduled where management will make a presentation on the Company's affairs and answer any related questions as is done each year after the AGM's formal business.

Depository Interests may be voted through the CREST Proxy Voting Service in accordance with the procedures set out in the CREST manual.

²  In order to be valid, this Form of Proxy together with the power of attorney (if any) or other authority (if any) under which it is signed or a notarially certified copy thereof, must be deposited at Link Asset Services, PXS, 34 Beckenham Road, Beckenham, Kent, BR3 4TU, United Kingdom no later than 10.30 a.m. (BST) on Tuesday 28 April 2020
