Sutton Harbour Holdings PLC 24 June 2005 Sutton Harbour Holdings plc ('Sutton Harbour' or 'the Company') Directorate changes The Company announces the appointment of Michael Anthony Knight (age 51) to the Board of Sutton Harbour effective 1st July 2005. The following information is disclosed in accordance with Schedule Two, paragraph (f) of the AIM Rules: Michael Knight is currently a director of Charles Taylor Consulting plc. During the previous five years Michael was a partner of Ernst and Young (retired 30 June 2001). Michael holds 1,000 ordinary shares in Sutton Harbour. Further to the previously announced appointment of Malcolm Naylor (age 57) to the Board of Sutton Harbour effective 1st June 2005, the following information is also disclosed in accordance with Schedule Two, paragraph (f) of the AIM Rules: Malcolm Naylor is currently a director of Air South West Limited (wholly owned subsidiary of Sutton Harbour Holdings plc). In the previous five years Malcolm was a director of Bluebird Airlines Limited and was a director of Gill Aviation Limited from April 2001 until September 2001. Gill Aviation Limited passed a resolution for winding up of the company on 20 September 2001 and was placed in voluntary liquidation with a deficiency of approximately £12million. Gill Aviation Limited is still in liquidation. Malcolm holds 1,000 ordinary shares in Sutton Harbour. There are no further disclosures to be made under Schedule Two, paragraph (f) (iii) to (viii) of the AIM Rules.
