                            Appointment of Director



The Directors are pleased to confirm the appointment of Malcolm Victor Lawrence
Pearce to the Board of Sutton Harbour Holdings plc as Non-Executive Director on
30 January 2002.

Mr Pearce has built up a substantial business whose UK interests were sold in
1998 to Dawson Holdings plc, a fully listed company of which he is a
non-executive director.  He is also the Chairman of the Fishworks plc, an OFEX
quoted fish restaurant group.
