                                Issue of Equity

Sutton Harbour Holdings plc announces that 1,708 options were exercised by an
employee of the Company on 17 December 2004 under the Company's SAYE scheme. The
options were exercised at an exercise price of 68p per ordinary share.

The new ordinary shares will rank pari passu with the existing ordinary shares
in the Company. Application has been made for the new ordinary shares to be
admitted to trading on AIM and dealings are expected to commence on 23 December
2004.

The total issued share capital of the Company following this issue is 24,338,036
ordinary 25p shares.
