DETAILS OF ISSUE:

11,000,000 common shares of no par value the net proceeds of which are intended 
to be used by Sun Life Financial Group to finance part of the purchase price 
required to acquire Keypoint Life Insurance Company and Independent Financial 
Marketing Group Inc.  If the acquisition is not completed, the net proceeds will
be used for general corporate purposes.
