SMG plc ('SMG' or 'the Company') Results of Rights Issue SMG announces that its 2 for 1 Rights Issue of 633,850,220 New Shares at 15 pence per New Share, as detailed in the Prospectus to Shareholders dated 6 November 2007, was successfully concluded at 11:00 a.m. on 18 December 2007, by raising the full amount of £95.1 million targeted by the Company at the start of the process. As previously announced on 30 November 2007, the Company will pay back its existing debt facilities in their entirety and return to normalised borrowing levels at standard commercial terms. The Company received valid acceptances in respect of 361,826,911 New Shares from Qualifying Shareholders, which represents an aggregate take-up of approximately 57.08 per cent. The remaining 272,023,309 New Shares, none of which have been sold at a premium to the Issue Price, will be taken up at the issue price of 15 pence per share by sub-underwriters procured by Hoare Govett, being financial institutions and existing shareholders. It is expected that the New Shares in uncertificated form will be credited to CREST accounts on 19 December 2007 and that definitive share certificates in respect of New Shares in certificated form will be dispatched to shareholders by 21 December 2007.
