SMG plc: Change of Name to stv group plc, Completed Tender Offer, Share Consolidation and Total Voting Rights 

SMG plc (the 'Company') announces that, pursuant to the announcement made on 5 September 2008 of the proposed Tender Offer, Share Consolidation and Change of Name and following shareholder approval for those proposals as announced on 23 September 2008, the Company's name has today been changed to stv group plc ('stv'). The Change of Name will take effect on the London Stock Exchange from the start of trading on 2 October 2008 and the Company's shares will trade under the EPIC/TIDM of 'stvg'. In addition, following the approval of the 1 for 20 Share Consolidation, dealings in the new shares of 50 pence have commenced today, 1 October 2008. The ISIN is GB00B3CX3644.

For the purposes of the provisions of the Disclosure and Transparency Rules, the total number of ordinary shares of 50 pence each in issue as at the date of this notice is 36,019,135 with each share carrying the right to one vote. There are no shares held in Treasury. The total number of voting rights in stv group plc is therefore 36,019,135. The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, stv under the FSA's Disclosure and Transparency Rules.

Further to the announcement on 26 September regarding the results of the Tender Offer, the Company confirms that cheques have been despatched and CREST accounts credited in respect of Tender Offer proceeds today, 1 October 2008. Full details of the Tender Offer, the Share Consolidation and Change of Name were set out in the circular to shareholders dated 5 September 2008.
