Acquisition of Shares by a Director

John Richardson, who is a director of Steppe Cement Ltd ('the Company'), has
acquired a total of 500,000 fully paid ordinary shares in the Company at a price
of US$1.50 each as part of the placement of 14 million shares announced on 30
January 2006.

Dealing in the placement shares is expected to commence on 3 February 2006.
