                     Results of Annual General Meeting 'AGM'

The Company is pleased to announce that all resolutions before the AGM on 7
October 2004 were passed.

In particular:

   • The Company has adopted revised Articles of Association and consequently
     is authorised to make market purchases of its own shares subject to certain
     conditions.

   • The Directors have authority to establish a share option scheme for
     their own benefit over 5,582,589 shares, being 15% of the Ordinary shares
     currently in issue. This limit is inclusive of options over 2,600,000
     Ordinary shares issued under the previous authority granted in 2002. The
     precise terms of the scheme have not yet been settled.

The next quarterly Chairman's update is expected to be issued by mid November.
