                         Re: Appointment of a Director

The issuer advises that the following replaces the 'Directorate Change'
announcement released on 28 June 2002 under RNS number: 9225X.

The appointment of Mr Ishani as Franchise Development Director of the Company
was announced on 28 June 2002, at which time it wrongly stated that Mr Ishani
was or had been a director or a partner of no companies other than being a
partner at Mundays. In fact Mr Ishani is a partner of A Juma and A&M Ishani, a
director of Hammonds Properties Limited, Mundays Trustee Services Limited,
Mundays IFP Limited and Accreditation Consulting and Training Limited..

All other details remain unchanged. The full amended text appears below.

Stagecoach Theatre Arts plc ('the Company') announces today that it has
appointed Manzoor G.K. Ishani, aged 53, as Franchise Development Director, to
commence employment on 1st August 2002, being the date of his directorship
becoming effective.

Manzoor Ishani, a solicitor and currently a partner at Mundays, has specialised
in international and UK franchising for almost 25 years. He is co-author of
numerous books on international franchising and a regular contributor to various
publications in the UK, Australia, USA, Canada, Portugal and Singapore with more
than 400 articles published. He has assisted franchisors to franchise into 14
countries. He is a member of the legal Committee of the British Franchise
Association, a Fellow of the Center for International Legal Studies, The Society
for Advanced Legal Studies and The Institute of Continuing Professional
Development. He is also a practising associate of the Academy of Experts.

In addition to being a partner of Mundays, Mr Ishani is a partner of A Juma and
A&M Ishani and a director of Hammonds Properties Limited, Mundays Trustee
Services Limited, Mundays IFP Limited and Accreditation Consulting and Training
Limited. No other information required by Schedule 2(f) of the AIM Rules is
applicable.
