Stagecoach Theatre Arts plc (the 'Company')
Additional Listing and issue of share options
The Company today applied for 151,145 ordinary shares of 5p each in the Company
('Ordinary Shares') to be admitted to AIM. These shares are being issued
pursuant to the exercise of options by Richard Dawson, Finance Director, on 27th
January 2005. Admission of these shares is expected to take place on 4th
February 2004.
Following the exercise of these options, the resultant shareholding of Richard
Dawson will be 151,145 Ordinary Shares, being 1.53 per cent. of the Company's
issued ordinary share capital.
On 27th January 2005, the Company issued further share options to Directors and
staff amounting to a total of 509,000 Ordinary Shares under option, each at an
exercise price of 67.5 pence, being the mid-market price of the Ordinary Shares
at time of grant. Of this total, Richard Dawson and Manzoor Ishani, both
Directors of the Company, were each issued 100,000 Ordinary Shares under option.
Options granted to Directors are subject to performance criteria relating to
Earnings per Share growth. Following the grant of these options, total options
over Ordinary Shares outstanding represent 8.24% of the Company's issued
ordinary share capital.
