SSP Group plc (the "Company")

Holdings in the Company

The Company announces that it was notified on 26 January 2015 that EQT IV Limited had disposed of 83,326,631 ordinary shares of 1 pence each in the share capital of the Company (ordinary shares) (representing approximately 17.54% of the total voting rights in the Company) pursuant to a transaction on 23 January 2015.

Following the disposal of the 83,326,631 ordinary shares, EQT IV Limited now holds in aggregate 94,999,990 ordinary shares in the Company (representing approximately 20.00% of the total voting rights in the Company).

The Company further refers to its notice (Notice) of the Company's Annual General Meeting (AGM) posted to shareholders on 22 January 2015, and announces that as a result of the disposal of ordinary shares in the Company by EQT IV Limited, it proposes to withdraw the Waiver Resolution (Resolution 18 as set out in the Notice) at the start of the AGM.

The AGM will be held on 3 March 2015 at 11.00 am at the offices of Freshfields Bruckhaus Deringer LLP at 65 Fleet Street, London, EC4Y 1HS.
