Spire Healthcare Group plc (LSE: SPI), a leading UK independent hospital group, today issues the following statement in accordance with Provision 4 of the UK Corporate Governance Code ('the Code'):

 

Further to the shareholder vote at the General Meeting and the Court Meeting held on 19 July 2021 in connection with the recommended cash offer for Spire Healthcare by Ramsay Healthcare Limited, the Company is required by the Code to issue an update. The Company sought and received feedback from certain key shareholders at the time of the vote indicating their reasons for not supporting the resolution. Given the exceptional and one-off nature of the vote, the Company has not taken and does not propose to take any further steps in respect of the matter.
