                          PRE-CLOSE TRADING STATEMENT

The Board of Spice Holdings plc ('Spice' or the 'Company') is pleased to
announce that its results for the year ended 30 April 2005 will be in line with
the directors' and the market's expectations.

These results will be announced on Thursday, 21 July 2005. The Company will hold
a briefing for analysts that morning. Further details of this briefing will be
announced nearer the time.

                          BOARD CHANGES & APPOINTMENTS

Before his appointment as Chief Financial Officer in December 2002, Carl
Chambers was Corporate Development Director and, since then, he has combined
both roles. As acquisitions are expected to continue and contribute to the
growth of Spice, the Board believes that a wholly dedicated Corporate
Development Director is critical. Carl's background is in sourcing and
facilitating acquisitions and he has elected to relinquish his role as Chief
Financial Officer to become Corporate Development Director with immediate
effect.

Oliver James Lightowlers, aged 32, has been appointed to the Board as Group
Finance Director with immediate effect. He joined Spice from
PricewaterhouseCoopers in December 2002, as Group Financial Controller and
Company Secretary. He qualified as a Chartered Accountant with Coopers &
Lybrand.

Lee Johnstone becomes Group Financial Controller and Company Secretary with
immediate effect. Lee, who is a Chartered Accountant, recently joined Spice from
Gartland Whalley Barker plc where he was Group Accountant.

There are no further details to be disclosed under Schedule Two, paragraph (f)
of the AIM Rules.

                         OPERATING BOARD APPOINTMENT

The Board also announces that William (Bill) Anthony Leach joined Spice on 1 May
2005, as Managing Director of the Water Services division. Bill has considerable
experience in the utilities sector and has specialist, high-level knowledge of
the water sector. He has been appointed to develop further the Group's existing
water businesses and assist in the identification of potential acquisitions from
