                                 AGM STATEMENT



The Chairman, Tim Fortune, at today's AGM of Spirax-Sarco Engineering plc, said:

'You have all been sent a copy of the annual report and accounts which includes
a detailed statement on the performance for the year ended 31st December 2002.
It also explains the special features which make this such a high quality
business and details the many growth opportunities available to us.  Regarding
'Prospects', I have nothing to add to the paragraph included in my statement
which was only written in March.  To remind you, I concluded by saying that 'It
seems likely that 2003 will be another difficult year for large parts of the
world economy; however, provided that there is no major disruption to the
trading environment, we look forward to another year of progress for the Group.'
