                                AGM STATEMENT

The Chairman, Tim Fortune, at today's AGM of Spirax-Sarco Engineering plc, said:

'You have all been sent a copy of the annual report and accounts which includes
a detailed statement on the performance for the year ended 31st December 2001.
It contains an explanation of the wide spread of customers and industries that
we serve, and the opportunities for growth over the long term. Regarding
'Prospects', I have nothing to add to the paragraph included in my statement
which was only written a few weeks ago.'
