                                 AGM STATEMENT


The Chairman, Tim Fortune, at today's AGM of Spirax-Sarco Engineering plc said:

'You have all been sent a copy of the annual report and accounts which includes
a detailed statement on the performance for the year ended 31st December 2000.
It also explains the special features which make this such a high quality
business and details the many growth opportunities available to us. Regarding '
Prospects', I have nothing to add to the paragraph included in my statement
which was only written last month.'
