FOR IMMEDIATE RELEASE



                 Spirax-Sarco Engineering Plc (the 'Company')



Application has been made for the listing of 225,261 ordinary shares of 25p
each fully paid ('shares') to the UK Listing Authority and for trading of the
shares with the London Stock Exchange. It is expected that admission will be
granted on Thursday 26th April 2001, and that dealings will commence on Friday
27th April 2001. These shares are issued as a result of the allotment of
shares pursuant to the Spirax Sarco Engineering 1992 Share Ownership Scheme.
When issued, these shares will rank pari passu with the existing ordinary
shares. The 225,261 shares includes those already announced on 23 April 2001
notifying Directors interests in shares that relate to the Company's 1992
Share Ownership Scheme.
