DELISTING FROM ALTERNEXT AMSTERDAM

Sopheon plc, the international provider of software and services that help organizations generate more revenues and profits from new products, announces that the listing and trading of the Company's Ordinary 20p Shares ("Shares") on Alternext Amsterdam ("Alternext Amsterdam") will be terminated effective 7 May 2015. This means that the last day of trading of the Shares on Alternext Amsterdam will be on 6 May 2015.

The Company will remain listed on the AIM Market of the London Stock Exchange ("AIM"), which qualifies as a sufficiently regulated and liquid alternative market to Alternext Amsterdam under the provisions of Euronext Announcement 2004-041.

The delisting from Alternext Amsterdam follows Euronext's decision to terminate the Alternext Amsterdam segment. The Sopheon board considered the merits of various alternative listing scenarios (including returning to Euronext Amsterdam's main market or any of Euronext's other Alternext markets such as Paris or Brussels) but due in part to cost and regulation associated with a main market listing, and in part due to Sopheon's lack of prior history in other European financial centres, the board has decided to consolidate the listing on AIM where Sopheon will remain accessible to the Dutch investment community.

Sopheon's Chairman, Barry Mence said:  "It is with great regret that after so many years on the Dutch markets we are terminating our listing in Amsterdam. However, a clear decision has been taken by Euronext to close the Alternext Amsterdam segment and after due consideration we have decided to consolidate the listing on AIM.  AIM is a very well established market which is accessible worldwide, and we believe this step is in the best interests of Sopheon's investors as a whole"
