Directors' Shareholdings

Sanderson Group plc ("Sanderson" or the "Company"), the software and IT services business specialising in the multi-channel retail and manufacturing markets in the UK and Ireland,  announces that it has been informed of the following share transaction by a director, which was completed on Friday 3^rd December 2010.

Mr David Gutteridge, the senior independent non-executive director, purchased 80,000 ordinary shares in Sanderson at a price of 28.18 pence per share. Following this purchase, Mr Gutteridge has a beneficial interest in 205,000 shares, representing 0.47 per cent of the total voting rights of the Company.
