                            Directors' Shareholdings


Sanderson Group plc ('Sanderson' or 'the Company'), announces that it was
informed today that Mrs Angela Winn, wife of Christopher Winn, Executive
Chairman of the Company, purchased 7,000 Ordinary shares in Sanderson on 24 May
2006 at a price of 44 pence per share.

Following this purchase, Mr Winn has an interest in 1,098,199 ordinary shares
and options over 2,037,715 Ordinary shares.
