                            Directors' Shareholdings

Sanderson Group plc ('Sanderson' or 'the Company'), announces that it was
informed today that Mr Christopher Winn, Executive Chairman of the Company,
purchased 16,199 Ordinary shares in Sanderson on 8 May 2006 at a price of 44.75
pence per share.

Following this purchase, Mr Winn has an interest in 1,041,199 ordinary shares
and options over 2,037,715 Ordinary shares.
