Date error in first line of text corrected from Wednesday 29 September to Wednesday 28 September 2011.

ANNOUNCEMENT OF ANNUAL RESULTS AND RECOMMENDATION OF DIVIDEND

On Wednesday 28 September 2011 the Company expects it will release a preliminary statement of the annual results of the Company for the financial year ended 31 July 2011. The statement will contain the Board's recommendation for a final dividend on the ordinary shares for the same period.

The announcement will include all the key, regulated information the Company is required to publish in unedited full text under DTR 6.3.5(2)(b) and may be viewed online at the Company's website, www.smiths.com, after its release.  The material contained in the announcement will not constitute the Company's annual financial statement, required under the Companies Act 2006, and will not be a substitute for reading the Annual Report 2011, which will be published on or around 17 October 2011 and will be available to view and download from www.smiths.com.

Subject to approval at the 2011 Annual General Meeting, the 2011 final dividend will be paid on 25 November 2011 to ordinary shareholders registered at the close of business on 28 October 2011. The 'ex-dividend' date will be 26 October 2011.

ANNUAL GENERAL MEETING

The Annual General Meeting of Smiths Group plc for 2011 will be held at 2:30 p.m. on Tuesday 22 November 2011 at The Thomas Lord Suite, Lord's Cricket Ground, Grace Gate, St John's Wood Road, London NW8 8QN.
