ANNOUNCEMENT OF ANNUAL RESULTS / RECOMMENDATION OF DIVIDEND / ANNUAL GENERAL MEETING

Annual Results

On Wednesday 28 September 2016 the Company plans to release an audited preliminary statement of its annual results for the financial year ended 31 July 2016.  The statement will contain the recommendation of the Board of Directors for a final dividend on the ordinary shares for the same period. The statement will be released via the Regulatory News Service of the London Stock Exchange and will be available on the Company's website, www.smiths.com.

The announcement will include key, regulated information that the Company is required to publish in unedited full text under DTR 6.3.5(2)(b).  The material contained in the announcement will not constitute the Company's annual financial statement, required under the Companies Act 2006, and will not be a substitute for reading the Annual Report 2016, which will be published on or around 13 October 2016 and will be available to view and download from www.smiths.com.

The results announcement will be followed by a presentation for financial analysts at 9.00 a.m. (UK time) on 28 September 2016.  This will be broadcast live via webcast on www.smiths.com.  A recording of the webcast will be available on the website from around 1:00 p.m.

Final Dividend

Subject to approval at the 2016 Annual General Meeting, the 2016 final dividend will be paid on 18 November 2016 to ordinary shareholders registered at the close of business on 21 October 2016.  The 'ex-dividend' date will be 20 October 2016.

Annual General Meeting

The Annual General Meeting of Smiths Group plc for 2016 will be held at 11:00 a.m. on Tuesday 15 November 2016 at the Northcliffe House Auditorium of the law firm, Freshfields Bruckhaus Deringer, 26-28 Tudor Street, London EC4Y 0BQ.  The Notice of the Annual General Meeting will be published on or around 13 October 2016 and will be available to view and download from www.smiths.com.
