ANNOUNCEMENT OF RESULTS AND RECOMMENDATION OF DIVIDEND

It is expected that a duly constituted committee of the Board will meet on
Wednesday 27 September 2006 for the purposes of (i) approving a preliminary
announcement of the results of the Company for its 2005/06 financial year and
(ii) recommending a final dividend on the ordinary shares for the same period.

Subject to approval at the Annual General Meeting, the 2006 final dividend will
be paid on 24 November 2006 to ordinary shareholders registered at the close of
business on 3 November 2006. The 'ex-dividend' date will be 1 November 2006.

ANNUAL GENERAL MEETING

The Annual General Meeting of Smiths Group plc for 2006 will be held at 12:00
noon on Tuesday 21 November 2006 at The Banqueting Suite, Lord's Cricket Ground,
Grace Gate, St John's Wood Road, London NW8 8QN.
