ANNOUNCEMENT OF RESULTS AND RECOMMENDATION OF DIVIDEND

It is expected that a duly constituted committee of the Board will meet on
Thursday 22 September 2005 for the purposes of (i) approving a preliminary
announcement of the results of the Company for the 52 weeks ended 31 July 2005
and (ii) recommending a final dividend on the ordinary shares for the same
period.

Subject to approval at the Annual General Meeting, the 2005 final dividend will
be paid on 18 November 2005 to ordinary shareholders registered at the close of
business on 21 October 2005. The 'ex-dividend' date will be 19 October 2005.

ANNUAL GENERAL MEETING

The Annual General Meeting of Smiths Group plc for 2005 will be held at 2:30
p.m. on Tuesday 15 November 2005 at The Banqueting Suite, Lord's Cricket Ground,
Grace Gate, St John's Wood Road, London NW8 8QN.
