Smiths Group Plc (the 'Company')



Application has been made to the London Stock Exchange Plc and the UK Listing
Authority for a total of 610,000 Ordinary shares of 25p each ('shares') to be
admitted to the Official List. It is expected that admission to admit the new
shares will be granted Friday, 05 April 2002 and that dealings will commence
Monday, 08 April 2002.



These shares are being reserved under a block listing and will be issued
pursuant to the terms of the TI 1999 Executive Share Option Scheme.



When issued, these shares will rank pari passu with the existing Ordinary
shares.
