Smith & Nephew PLC - Transaction in Own Shares


Smith & Nephew PLC announces that on 17 May 2007 it transferred 250,000 ordinary
shares of US$0.20 to Abacus Corporate Trustee Limited, the Trustee of the Smith
& Nephew 2004 Employees' Share Trust. The shares will be used to satisfy options
and awards under the 2004 Senior Executive Share Plans.


The transferred shares were all formerly held as Treasury Shares.


Following the above transfer, Smith & Nephew PLC holds 10,941,000 ordinary
shares in treasury, and has 934,720,576 ordinary shares in issue (excluding
treasury shares).
