In connection with the listing of Smith & Nephew plc on the 
New York Stock Exchange, Christopher O'Donnell, Chief 
Executive, has informed the company that today he acquired 100 
American Depository Receipts, representing 1000 ordinary 
Shares of the Company, at a price of $33 per ADR.  Mr 
O'Donnell now has an interest in 19,269 ordinary shares 
representing 0.0017% of the issued ordinary share capital of 
the Company.
