Director's Shareholding

This notification is made pursuant to Disclosure and Transparency Rule 3.1.4.

We hereby notify you that on 11 October 2010, Miles Roberts, a Director of DS Smith Plc, acquired 224,039 ordinary shares of 10p each in the Company pursuant to his Replacement 2007 LTIP.  No consideration is payable on the vesting of shares pursuant to the Replacement 2007 LTIP.

At the same time, Mr Roberts sold 114,490 of the acquired shares at a price of 161.5p per share in order to pay the income tax, NIC, and dealing expenses due following the vesting.

Mr Roberts has an interest in a total of 109,549 shares of the Company, being 0.025% of the issued share capital following this notification.  The shares are registered in the name of his wife, Gillian Janet Roberts.
