DS Smith Plc (the 'Company')

In pursuance of the Company's obligations under Section 793 of the Companies Act 2006 and Disclosure Rule 3.1.4R (i)(a), the Company hereby notifies that the following Director's share transaction occurred on 23 July 2008.

1) Mr A D Thorne notified the Company on 23 July 2008 that, as a result of being granted an award under the DS Smith Deferred Share Bonus Plan (the 'Bonus Plan'), he has acquired a conditional right to receive the number of ordinary shares of 10p each of the Company ('Shares') set out below.

The award under the Bonus Plan referred to above will normally vest on the third anniversary of the date of grant, being 23 July 2011.

2) Mr A D Thorne also notified the Company on 23 July 2008 that, as a result of a purchase on 23 July 2008 by David S Smith Employee Benefit Trust Ltd as the Trustee of the David S Smith Employee Benefit Trust (the 'Trust') of 153,122 Shares at 115.26p per Share, he should now be regarded as being interested in the Trust's total holding of 2,468,495 Shares. With the exception of the item referred to in 1) above, this interest arises merely because Mr Thorne is (together with other Group employees) a potential beneficiary of the Trust.
