("Sirius Real Estate", "Sirius" or the "Company")

 

Results of Dividend Reinvestment Plan

Shareholders are referred to the Company's financial results announcement for the six months ended 30 September 2023 and the announcement titled "Cash Dividend And Offer Of Dividend Reinvestment Plan" ("Finalisation Announcement"), both published on SENS on 20 November 2023 ("Announcements"), containing, inter alia, details of the cash dividend declared by the Company for the six-month period ended 30 September 2023 ("Cash Dividend"), and advising shareholders of the Dividend Reinvestment Plan ("DRIP") alternative.

As indicated in the Announcements, shareholders could elect to receive their Cash Dividend in the form of Sirius ordinary shares ("Shares"), failing which the dividend would be paid out in cash on
25 January 2024. The deadline for receipt of the DRIP elections was 2 January 2024.

Following the respective DRIP Share purchase settlement dates as set out in the Finalisation Announcement, the Company hereby advises that -

-    Shareholders on the United Kingdom ("UK") share register holding 6.2 million Shares or 0.46% of Sirius' issued share capital as at 15 December 2023 (UK record date), and who qualified to receive the Cash Dividend, elected to receive Shares in terms of the DRIP, resulting in the purchase of
157 365 Shares in the market at an average price of £0.85700 per Share and their delivery to such electing shareholders.

-    Shareholders on the South African ("SA") share register holding 97.6 million Shares or 7.24% of Sirius' issued share capital as at 14 December 2023 (SA record date), and who qualified to receive the Cash Dividend, elected to receive Shares in terms of the DRIP, resulting in the purchase of 2 244 434 Shares in the market at an average price of R 21.47367 per Share and their delivery to such electing shareholders.

As the Shares settled on shareholders pursuant to the DRIP were purchased in the market and not newly issued by the Company, the Company's total issued share capital remains 1 348 140 369 Shares of no par value. The Company does not hold any Shares in treasury.
