Scott Wilson Group PLC ("Scott Wilson" or "the Company")

 

In accordance with paragraph 12.6.4 R of the Listing Rules, the Company advises that it has made the following transfers of ordinary shares out of treasury:

 

1.   18,000 ordinary shares of 10 pence each were today transferred out of treasury to satisfy the exercise of options in the Company Share Option Scheme.

 

2.   The highest price paid for a share was £1.20.

 

3.   The lowest price paid for a share was £1.20.

 

In accordance with the transitional provisions of the FSA's Disclosure and Transparency Rules, the Company advises that its issued share capital comprises 76,175,446 ordinary shares of 10p each. The voting rights of all of these shares are identical with each share carrying the right to one vote. The Company holds 1,766,812 ordinary shares of 10p each in Treasury. Therefore, the Company's total number of voting rights is 74,408,634.

 

The above figure, 74,408,634, may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Scott Wilson Group plc under the Disclosure and Transparency Rules.

 

Rule 2.10 disclosure

In accordance with Rule 2.10 of The City Code on Takeovers and Mergers, Scott Wilson confirms that, as at the close of business on 6 July 2010, it has 74,408,634 ordinary shares of 10 pence each in issue excluding shares held in treasury. The International Securities Identification Number for these securities is GB00B0WM2V87.
