Rescheduling of Scott Wilson board meeting

On 29 June 2010, Scott Wilson issued an announcement describing the terms of the right to match arrangements which it had agreed with URS Corporation ("URS") and confirming that, in accordance with these right to match arrangements, it had convened a board meeting for Thursday 1 July 2010 to consider its position.

At the request of the Panel Executive, Universe Bidco has agreed that if, in accordance with the right to match arrangements, Universe Bidco confirms to Scott Wilson by 5.00 p.m. on Wednesday 30 June 2010 that it intends to exercise its right to match or improve upon the cash offer for Scott Wilson announced by CH2M HILL on 28 June 2010, it must announce its revised offer by no later than 7.30 a.m. on Thursday 1 July 2010. If Universe Bidco does not exercise its right to match by 5.00 p.m. on Wednesday 30 June 2010, the Scott Wilson board will be entitled to withdraw its recommendation of the URS Offer. In any event Universe Bidco must confirm its intentions regarding Scott Wilson by no later than 7.30 a.m. on Friday 2 July 2010 in accordance with the Panel Executive's ruling of this morning.

In light of this, Scott Wilson's board meeting will now take place by the end of Wednesday 30 June 2010 and Scott Wilson will update the market as to its recommendation to Scott Wilson shareholders by 7:30 a.m. on Thursday 1 July 2010.

This announcement has been made with the agreement of Universe Bidco.
