to Section 324 Companies Act 1985.

Serco Group LTIS Limited, the trustee of the Serco Group plc 1998 Employee
Share Ownership Trust, acquired 541,662 ordinary shares of 2p each  in the
capital of Serco Group plc on 1 September 2000.

The acquired shares will be held under the terms of the Serco Group plc 1998
Employee Share Ownership Trust. The Directors of Serco Group plc are
potential beneficiaries under the Serco Group plc 1998 Employee Share
Ownership Trust and are therefore deemed to be interested in shares held by
that trust.
