Kevin Beeston, a director of the Company, has today exercised
125,472 options granted to him under the Serco Group plc 1996
Long Term Incentive Scheme.  Of these, he has sold 65,312
ordinary shares of 2p each in the Company at a price of
461.287p per share.  No consideration was required on the
exercise of those options.
