This is to notify you that a meeting of the Board of Directors of Serco Group
plc has been scheduled, at which resolutions on the following matters will be
proposed :


 1. Acceptance of the audited Accounts for the year ended 31 December 2000.
 2. Payment of a final dividend on the 2p Ordinary Shares of the Company.
 3. Release of the results and proposed  final dividend for the year ended 31
    December 2000 to the Company Announcements Office on 20 February 2001.
