Board Meeting Notification

This is to notify you that a meeting of the Board of Directors of Serco Group
plc has been scheduled, at which resolutions on the following matters will be
proposed :

1. Acceptance of the unaudited Accounts for the six months to 30 June 2000.

2. Payment of an interim dividend on the 2p Ordinary Shares of the Company.

3. Release of the results and proposed interim dividend for the six months to
30 June 2000 to the Company Announcements Office on 31 August 2000.
