                               ('the Company')


  The Company advises that, further to the announcement dated 24 January 2001,
discussions are continuing between the Company, Beradin Holdings PLC, Padang
Senang Holdings PLC and Bertam Holdings PLC with respect to the possible
amalgamation of the four companies. These discussions are now at an advanced
stage and it is currently anticipated that an announcement of these proposals
will be made at the end of April 2001. Whereas in recent years the preliminary
statement announcement of annual results has been made during March, this year
it will be made at the end of April to coincide with the planned announcement
of the merger proposals referred to above. Documentation relating to the
proposed merger, together with the Company's 2000 annual report, is expected
to be despatched to shareholders in early May 2001.
