Grant of award under the Company's 2017 Long Term Incentive Plan ("LTIP")

On 20 April 2018 Secure Trust Bank PLC granted an award over ordinary shares ("Ordinary Shares") under the LTIP to the following PDMR:

*In accordance with the terms of the award, the exercise price payable may be waived before exercise.

The award has been granted subject to performance conditions based on: (1) compound annual growth in Earnings Per Share over two year performance period starting with 2018 (as regards 40% of the Ordinary Shares subject to the award); (2) the Company's total shareholder return over that performance period relative to the TSRs of a group of comparator companies (as regards 40% of the Ordinary Shares subject to the award); and (3) an assessment of the Company's approach to risk management over the performance period (as regards 20% of the Ordinary Shares subject to the award).

The award will, ordinarily, vest on the date on which the Company's board of directors determines the extent to which the performance conditions have been satisfied.  The award will be released so that the participant is entitled to acquire the vested Ordinary Shares on the vesting date.

David Mercer joined the Company as Managing Director, Motor on 2 January 2018.  The award to Mr Mercer was made in connection with his recruitment to the Company and to replace awards forfeited by him as a result of his employment by the Company.  The Company and Mr Mercer had agreed the terms of the award at the time of his recruitment in 2017.
