                              Listing Application



Pursuant to the announcement made by the Company on 14 December 2005 relating to
the acquisition of Applied Electronic Systems Inc. ("AES") application has been
made to the UK Listing Authority and the London Stock Exchange for a total of
775,662 new ordinary shares of 10p each in the Company ("New Ordinary Shares")
and issued as part consideration for the acquisition of AES, to be admitted to
the Official List and to the London Stock Exchange ("Admission"). Admission of
the New Ordinary Shares is expected to become effective on 29 December 2005.



When issued, the New Ordinary Shares will rank pari passu with existing Ordinary
Shares save that they will not rank for the interim dividend of 0.7p per
existing Ordinary Share declared on 14 December 2005.
