Results of PrimaryBid Offer

 

 

Scientific Digital Imaging plc, the AIM quoted group focused on the design and manufacture of scientific and technology products for use in digital imaging and sensing and control applications, including life sciences, healthcare, astronomy, manufacturing and art conservation, yesterday announced a Placing of new Ordinary Shares in the Company and an offer for new Ordinary Shares via PrimaryBid (the "PrimaryBid Offer"). The Company is pleased to announce that the PrimaryBid Offer successfully completed and closed at c.5:00 p.m. on 12 February 2019. The PrimaryBid Offer was oversubscribed and received strong demand from private investors for a total of 294,117 new Ordinary Shares raising c.£100,000. The Company has raised a total of c.£2.57m by way of the Placing and the PrimaryBid Offer, being the maximum amount authorised under the Company's existing authorities.

 

The Company will therefore issue and allot 294,117 New Ordinary Shares to satisfy the PrimaryBid Offer (the "PrimaryBid Shares"). Application has been made to the London Stock Exchange for the PrimaryBid Shares, which rank pari passu with the Company's existing Ordinary Shares and the new Ordinary Shares to be issued pursuant to the Placing, to be admitted to trading on AIM. Dealings are expected to commence at 8.00 a.m. on 15 February 2019. 

 

Total Voting Rights

 

Following the issue of the PrimaryBid Shares and admission of the 7,276,410 Placing Shares, the Company will have 97,203,951 Ordinary Shares in issue. No Ordinary Shares are held in treasury. The figure of 97,203,951 may be used by the Company's shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure Guidelines and Transparency Rules.
